# Character.AI Files Chapter 11: What Disney's $20M Buys

> Character.AI filed Chapter 11 on Oct 12 to sell its assets. Disney's $20M buys a non-exclusive IP license, not the company. Dates, terms, what users face.

## Key points

- Character.AI filed a voluntary Chapter 11 case in Delaware on October 12, 2026 to sell all or substantially all of its assets; the app keeps running during the sale.
- Disney's $20 million is a stalking-horse bid for a non-exclusive perpetual license of some IP and some legal claims, plus transition services, not a purchase of the company.
- Higher bids are invited under section 363; Character.AI expects the sale to close in late November or early December 2026.
- If no buyer agrees to keep the platform running, Character.AI says it will be wound down.
- Reuters reports the court filing puts estimated assets and liabilities each in the $50 million to $100 million range.
- Former CEO Karandeep Anand became Disney's CTO on October 2, ten days before the filing, and part of the technical team is expected to follow him.

## At a glance

- **Did Disney buy Character.AI?** No. Disney's $20 million stalking-horse bid is for a non-exclusive license of certain IP and claims, and other bidders can top it in court.
- **Will the Character.AI app shut down?** Not yet. It keeps running during the sale; the company says it will be wound down only if no buyer agrees to keep it going.
- **When does the sale end?** Character.AI expects the sale to close in late November or early December 2026.

**Character.AI has filed for Chapter 11 bankruptcy, and Disney's $20 million offer does not buy the company.** Character Technologies, the company behind the Character.AI chatbot app, said late on October 12, 2026 that it had filed a voluntary Chapter 11 case in the U.S. Bankruptcy Court for the District of Delaware to sell "all or substantially all of its assets." Disney is the first bidder, but for a license, and the app will shut if nobody buys it to keep running.

A viral post on X early on October 13 got most of it right: the filing, the $20 million, and the former CEO who joined Disney ten days earlier. Two details need fixing. Disney is not buying IP outright, and the $2.7 billion figure for Google's 2024 deal is a newspaper headline, not a disclosed price.

## What Character.AI filed

The company's own statement, distributed by [Business Wire](https://www.businesswire.com/news/home/20261012656385/en/Character.ai-Initiates-Voluntary-Chapter-11-Proceeding-to-Facilitate-Value-Maximizing-Sale-Process) at 11:50 PM Eastern on October 12, lays out the plan. It filed a motion for bidding procedures to run a court-supervised sale, and expects "the completion of the Sale Process and the closing of any resulting transactions will occur in late November or early December 2026."

CEO Colin Adams gave the reason in one line: "After a comprehensive review of the available alternatives, the board determined that this court-supervised sale process provides the Company with the best opportunity to maximize value for all stakeholders." He also said the company had worked through "significant legal, regulatory, and operational headwinds" over the past year.

The app keeps running for now. The statement is plain about the downside: "To the extent the Sale Process does not result in a purchase that provides for a continuation of the Character.ai platform, the platform will be wound down."

[Reuters](https://www.reuters.com/legal/litigation/characterai-files-bankruptcy-agrees-sell-some-assets-disney-20-million-2026-10-13/) adds the size: the court filing lists estimated assets and liabilities each between $50 million and $100 million. Court papers are posted by the claims agent at [Stretto](https://cases.stretto.com/chartech); we did not read the docket itself.

## What Disney's $20 million actually buys

Disney Worldwide Services signed on before the filing as the stalking-horse bidder, the first agreed offer in a court sale. Its bid covers "a non-exclusive perpetual license of certain Company intellectual property and certain Company claims," in exchange for $20 million plus transition services using former Character.AI employees Disney has hired.

Three things follow from that wording. Non-exclusive means Character.AI can license the same IP to others. It is a license, so Disney does not take ownership of the company, the app or its users. And the offer is a floor: under section 363 of the Bankruptcy Code, other buyers can bid higher before the court picks a winner.

The statement does not say which IP or which claims. Disney sent Character.AI a cease-and-desist letter in September 2025 over its characters, [TechCrunch reported](https://techcrunch.com/2026/09/18/disneys-first-cto-led-an-ai-startup-it-once-accused-of-copying-its-characters/), so the claims part of the deal is worth watching when the documents are filed.

## The road from Google's deal to Disney's bid

In August 2024 Character.AI signed what [Reuters described](https://www.reuters.com/technology/artificial-intelligence/google-hires-characterai-cofounders-licenses-its-models-information-reports-2024-08-02/) as an agreement granting Google "a non-exclusive license" to its model technology, with co-founders Noam Shazeer and Daniel De Freitas returning to Google. No price was announced. The [Wall Street Journal](https://www.wsj.com/tech/ai/noam-shazeer-google-ai-deal-d3605697) headlined it a month later as Google paying $2.7 billion to bring Shazeer back, and that number has followed the company since.

Karandeep Anand became CEO in May 2025. On September 18, 2026, [Disney named him](https://www.businesswire.com/news/home/20260918458816/en/The-Walt-Disney-Company-Names-Karandeep-Anand-to-Newly-Created-Role-of-Chief-Technology-Officer) its first Chief Technology Officer, effective October 2, and said "a number of Character.AI's technical team are expected to join Disney." Those are the former employees whose transition services are now part of Disney's bid.

*Table: Timeline*

| Date | Event |
|---|---|
| Aug 2, 2024 | Google takes a non-exclusive license; co-founders rejoin Google |
| May 2025 | Karandeep Anand becomes CEO |
| Sep 2025 | Disney sends a cease-and-desist letter over its characters |
| Sep 18, 2026 | Disney names Anand CTO, effective October 2 |
| Oct 12, 2026 | Chapter 11 filed; Disney named stalking-horse bidder at $20M |
| Late Nov to early Dec 2026 | Expected sale close |

## What this means if you depend on an AI service

For Character.AI's users the near-term answer is simple: the app runs during the sale, and its future depends on who buys it. Nothing in the statement says what happens to chats or characters if it is wound down.

The broader lesson applies to any company that builds work on an AI vendor. A product can be healthy one quarter and in a court-run sale the next, with its people already gone to a new employer. Before you put real work into a tool, find out how you get your data and files back out, and keep copies of anything you cannot afford to lose. Our guide to [choosing an AI employee platform](https://cellcog.ai/blog/how-to-choose-an-ai-employee-platform/) lists the questions to ask before you commit.

## What we are watching

- The bidding procedures order and the bid deadline on the Stretto docket.
- Whether anyone outbids Disney, and what the "certain Company claims" turn out to be.
- Any statement on what happens to user chats and characters if the app is wound down.

## FAQ

**What is a stalking-horse bid?**

The first agreed offer in a court-run sale. It sets the floor; other buyers can bid higher under section 363 of the Bankruptcy Code, and the court approves the winner.

**Was Google's 2024 deal really $2.7 billion?**

That figure comes from a Wall Street Journal headline about the deal. Character.AI and Google announced a non-exclusive model license and the return of its two co-founders to Google, without a price.

**Who runs Character.AI now?**

Colin Adams is CEO. Karandeep Anand, CEO from May 2025, left to become Disney's first CTO on October 2, 2026.

**Why would Disney bid for a company it once warned?**

Disney sent Character.AI a cease-and-desist letter in September 2025 over its characters. The bid covers certain IP and certain claims; the filings we read do not say which.

**Was CellCog affected?**

No. Character.AI is a consumer entertainment app, not a vendor of ours. We cover it because buyers of any AI service should know what happens when a vendor fails.
