## Key points

- On September 30, 2026, Factory CEO Matan Grinberg said on X that Factory was terminating adviser and board observer Chris Degnan for unethical conduct involving Cognition, the maker of Devin.
- Grinberg alleged Cognition engineers feigned job interviews to learn about Factory's product, then pursued people with knowledge of its confidential plans. He said Factory does not know what, if anything, Degnan shared.
- Less than an hour later, Degnan announced he was joining Cognition as chief revenue officer. He then replied that he was not terminated: he resigned on Monday and told Grinberg where he was going.
- Cognition CEO Scott Wu called the allegations not true and said Degnan never shared, and Cognition never asked for, Factory information.
- Sequoia partner Shaun Maguire, whose firm backs Factory, escalated with posts about a nuclear weapon to end Cognition and a comparison to Infosys. None of the claims in either direction has been backed by documents.
- Both companies just raised large rounds: Factory $200 million at a $5 billion valuation on September 15; Cognition says its run-rate revenue grew from $492 million to almost $900 million since May.

## At a glance

- **What happened between Factory and Cognition?** Factory's CEO accused Cognition of improperly pursuing confidential information through his adviser Chris Degnan, who joined Cognition as CRO the same day. Degnan and Cognition's CEO deny it.
- **Who is Chris Degnan?** Snowflake's first sales hire and later its chief revenue officer, who advised Factory for over a year and is now Cognition's CRO.
- **What is the caveat?** Everything so far is posts on X and press accounts of them. No filing, document or third-party finding backs either side.

**Two of the best-funded coding-agent companies spent September 30 accusing each other in public.** Factory CEO Matan Grinberg wrote on X: "We are terminating Chris Degnan for unethical conduct involving Cognition." Less than an hour later, Degnan announced he was joining Cognition, the maker of Devin, as chief revenue officer. By the evening, Cognition's CEO, Degnan himself and a Sequoia partner backing Factory had all weighed in.

This page is read from the posts on X (times computed from each post's ID) and [TechCrunch's report](https://techcrunch.com/2026/09/30/factory-ceo-just-accused-his-vc-board-advisor-of-spying-for-cognition/). Nothing beyond the posts has surfaced: no filing, no document, no third-party finding.

## Factory's account

Grinberg's post makes three claims. First, a competitive one: Cognition "has fallen behind us on the capabilities that matter most to customers: cost, quality, and security." Second, an approach: "Instead of competing in the market, Cognition engineers feigned interviews with us to pry information about our product." Third, the adviser: "For weeks, while he sat in our board meetings and advised our leadership team, he was also confiding with executives of our largest competitor."

He is careful on the central point. Degnan "was subject to confidentiality obligations," Grinberg wrote, and "We do not know the extent of the information he shared, but it puts his timely questions about our product roadmap and what the parity gap involves into a new light."

## Cognition's and Degnan's account

Scott Wu replied directly: "your allegations here about Cognition are not true." He wrote that Degnan "has not shared and would never share any information about you or Factory with our team, nor would we ever ask," and that "Chris is an advisor to at least 10 companies, and he told you he was resigning as an advisor on Monday."

Degnan's own reply disputes the firing: "You did not terminate me. I resigned from my advisor position on Monday and told you I was going to Cognition." He added that Factory then offered him a full-time role, which he declined. Per TechCrunch, he also says the last Factory board meeting he attended was weeks before he first spoke to Cognition.

## The investor posts

Shaun Maguire, a Sequoia partner (Sequoia is one of Factory's investors), posted that "we're sitting on a nuclear weapon to end them," without saying what the weapon is, and later: "Cognition is Infoysys masquerading as Anthropic" (spelling his). Investor Rex Salisbury asked the question underneath it all: "why do cognition (and factory) have so few startups / tech companies as customers?"

## The stakes

*Table: The two companies, from their own announcements*

| | Factory | Cognition |
|---|---|---|
| Product | Model-agnostic coding agents (Droids) | Devin, an autonomous coding agent |
| Latest round | $200 million at a $5 billion valuation, September 15, 2026 | Series E, September 8, 2026 |
| Disclosed traction | Named customers include Nvidia, Blackstone, RBC, Adobe and T-Mobile | Run-rate revenue from $492 million to almost $900 million since May |

Both sell autonomous coding agents to large enterprises, and a chief revenue officer with Degnan's record (Snowflake's first sales hire, later its CRO) is exactly the hire that decides enterprise deals. That is why one adviser's move became a public fight.

## What is not known

- **Whether anything was shared.** Grinberg says Factory does not know; Degnan and Wu say nothing was.
- **The timeline of Degnan's Cognition talks.** The two accounts conflict on when they started relative to Factory board meetings.
- **The weapon.** Maguire did not say what he meant.
- **Any legal step.** No lawsuit or filing has been reported as of October 1.

## What we are watching for

There is no evidence either way. Grinberg wrote that Factory does not know the extent of what Degnan shared. Degnan and Cognition CEO Scott Wu both say nothing was shared and nothing was asked for.

**Was Degnan fired or did he resign?**

The accounts conflict. Grinberg says Factory terminated Degnan's roles as board observer and adviser. Degnan says he resigned on Monday, told Grinberg he was joining Cognition, and declined a full-time offer from Factory.

**What did Shaun Maguire say?**

The Sequoia partner posted that Factory's side is sitting on a nuclear weapon to end Cognition and hopes not to use it, and later wrote that Cognition is Infosys masquerading as Anthropic. He did not say what the weapon is.

**How do Factory and Devin compare as coding agents?**
